Wizer Training AI Addendum

This AI Addendum (these “AI Addendum”) supplements Wizer’s Terms of Service or Wizer Training Subscription Agreement executed between you and Wizer (the “Agreement”) and governs your access to and use of the Wizer AI Studio features. This AI Addendum supplements and forms part of the Agreement and is not intended to limit, restrict, or otherwise diminish any rights or obligations set forth in the Agreement, except as expressly set forth herein. Capitalized terms not defined herein shall have the meaning assigned to them in the Agreement.

1. Wizer AI.

As part of the Wizer AI Studio features, you may submit prompts, documents, policies, or other materials (“Customer Input”) through the Service for the purpose of generating security awareness training content, including, without limitation, videos, scripts, voice narration, visual elements, or other content, based on Customer Input (“AI Output”). The Wizer AI Studio features process such Customer Input using artificial intelligence or machine learning technologies to generate the AI Output.

2. Customer Input.

2.1. As between you and Wizer, you shall remain the sole owner of Customer Input.

2.2. You represent that: (i) you own or have sufficient rights to use Customer Input, (ii) that by sharing the Customer Input with us and our third-party providers you do not violate any laws, contracts, or regulations, (iii) you shall not submit Customer Input that violates the content or use restrictions set forth in the Agreement, including any prohibited content or unlawful materials, (iv) you shall not submit Customer Input containing any personal data; (v) you shall not submit Customer Input containing any Confidential Information, of any kind; and (vi) you are solely responsible for the content and legality of any Customer Input submitted through the Wizer AI Studio feature.

3. Use of Customer Input for Model Training.

3.1. Wizer does not use Customer Input or AI Outputs to train or improve Wizer’s own artificial intelligence or machine learning models.

3.2. You acknowledge that Customer Input may be processed by Wizer’s third-party AI service providers to generate AI Outputs, and that the processing of such data is subject to the terms and policies of those providers. Wizer is committed to using AI providers and API configurations under which customer data processed through the service is not used to train public or shared foundation models, subject to the applicable terms and controls of the underlying provider.

4. AI Output.

4.1. License. Subject to the terms of this AI Addendum and the Agreement, Wizer grants you a limited, non-exclusive, non-transferable, and non-sublicensable license during the applicable Subscription Term to access and use the AI Outputs solely within the Wizer Platform for your internal training purposes. You shall not download, export, reproduce, distribute, or otherwise use AI Outputs outside the Wizer Platform except as expressly permitted by Wizer. For the avoidance of doubt, AI Output does not constitute Customer Content or Offline Content under the Agreement. Except for the limited license expressly granted herein, no ownership or other intellectual property rights in or to the AI Output is transferred or assigned to you.

4.2. Upon expiration or termination of the Subscription Term, Wizer shall delete the AI Outputs in accordance with Wizer’s retention policy. Wizer will not use the AI Outputs for any purpose other than providing the AI features to you during the Subscription Term, except as required to comply with applicable law, enforce its rights, or as otherwise set forth in the Agreement.

4.3. You acknowledge and agree that: (i) the AI Output is generated through machine learning processes and is not tested, verified, endorsed, or guaranteed to be accurate, complete, correct or up to date by Wizer, (ii) the AI Output is provided for informational purposes only and should not be relied upon without human review, you are solely responsible for exercising such human review and professional judgment to verify the accuracy and appropriateness of any AI Output before using it, and (iii) due to the nature of machine learning systems, AI Output may not be unique across Customers, and the AI Features may generate the same or similar results for other Customers.

5. General Restrictions. You shall not use the AI Features to generate or distribute content that: (i) violates any applicable law, (ii) infringes the rights of any third party, (iii) contains unlawful, harmful, abusive, discriminatory, or otherwise objectionable material, (iv) impersonates or misrepresents any individual or organization, or (v) simulates, clones, or attempts to replicate the voice or likeness of any real person without appropriate authorization.

6. WARRANTY DISCLAIMERS.

NOTWITHSTANDING ANYTHING TO THE CONTRARY IN THE AGREEMENT, WIZER MAKES NO REPRESENTATION OR WARRANTY REGARDING THE FACTUAL ACCURACY, COMPLETENESS, OR RELIABILITY OF THE AI OUTPUTS, NOR THAT THE AI OUTPUTS DO NOT INFRINGE THIRD-PARTY INTELLECTUAL PROPERTY RIGHTS. ACCESS TO AND USE OF THE AI FEATURES AND AI OUTPUTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS AT YOUR OWN RISK.
